Secretary of State Cord Byrd urges all Florida businesses to file their annual reports early to avoid late fees and complications
Tallahassee, Florida – Florida Secretary of State Cord Byrd is reminding businesses across the state to stay ahead of the filing deadline and submit their annual reports early this year. With the May 1, 2026, deadline approaching, Byrd encourages all corporations, limited liability companies, partnerships, and nonprofit organizations to take advantage of the state’s online filing system at Sunbiz.org.
“Beware of companies sending misleading solicitations. The Division of Corporations has made it easy for businesses to file their annual reports 24/7 — simply, quickly and easily during the filing season,” Byrd said. The Secretary of State emphasized that official filing information will always include the State of Florida seal and the Sunbiz logo, distinguishing legitimate filings from outside solicitations.
Any profit corporation, limited liability company, limited partnership, or limited liability limited partnership is required to file an annual report by 11:59 p.m. EST on Friday, May 1, 2026. Failure to meet the deadline will result in a $400 late fee. Nonprofit corporations are also required to file their annual reports within the same timeframe.
Byrd encourages businesses to file early, pointing out the convenience of Sunbiz.org, which allows filings 24 hours a day, seven days a week. “Filing early helps businesses avoid last-minute technical issues or potential delays,” Byrd added, noting that the online system provides step-by-step instructions for all filers.
